These share purchases are part of the on- and off-market portions of the Company’s existing share buyback program previously announced on July 28, 2022.
With respect to this program, Citigroup Global Markets Limited will make trading decisions regarding the securities independently of the Company for a period from July 28, 2022 to October 21, 2022 inclusive.
The market component will be carried out within certain predefined parameters and in accordance with the Company’s general authorization to buy back shares in the market. The off-market component will be carried out in accordance with the general authorization of the Company to repurchase shares off-market in accordance with the off-market repurchase agreement approved by its shareholders and the predefined parameters defined therein. The program will be conducted in accordance with Chapter 12 of the Listing Rules and Article 5 of the Market Abuse Regulation 596/2014/EU dealing with repurchase programs (“EU MAR”) and EU MAR as “onshore “into UK law from the end of the Brexit transition period (at 11.00pm on 31st December 2020) through the European Union (Withdrawal Agreement) Act 2018 (as amended by the Act European Union (Withdrawal Agreement) 2020), and as amended, supplemented, restated, novated, substituted or replaced by the Financial Services Act 2021 and relevant statutory instruments (including the Misuse Regulations (Amendment) (Leaving the EU) (SI 2019/310)), from time to time (“UK MAR”) and the Commission Delegated Regulation (EU) 2016/1052 (the “EU Delegated Regulation MAR”) and the EU MAR Delegated Regulation as “transferred” into UK law from the end of the Bre transition period xit (at 11:00 p.m. on 31 December 2020) through the European Union (Withdrawal) Act 2018 (as amended by the European Union (Withdrawal Agreement) Act 2020), and as amended , supplemented, restated, renewed, substituted or superseded by the Financial Services Act 2021 and relevant regulations (including the Market Abuse (Amendment) Regulations (leaving the EU) (SI 2019/310) ), from time to time.
